1.Acceptance of Terms

By accessing or using Gugugaga (https://gugugagapenguin.online), using our free prompting tools, or purchasing the Creator Master Pack, you agree to comply with and be bound by these Terms of Service and Commercial License Agreement. If you do not agree to all terms stated herein, please discontinue use of the site immediately.

2.Definitions

“Free Content” refers to publicly accessible prompt templates, soundboard audio clips, tutorials, and meme timeline articles provided on the site without paid checkout.
“VIP Materials” refers to the 35 premium prompt formulas, motion parameters, high-resolution master reference images, and digital files unlocked through the purchase of the Creator Master Pack.
“Derivative Works” refers to any new images, videos, audio tracks, animations, physical prints, video games, apps, or design assets created by the user utilizing or incorporating the VIP prompt recipes or reference imagery.

3.Unofficial Fan Resource & Trademark Notice

4.Free Content Usage (Personal & Non-Commercial)

5. VIP Materials Commercial License (Creator Master Pack)

Core License Grant: Upon purchase of the Creator Master Pack, you are granted a perpetual, worldwide, non-exclusive, royalty-free license to use all VIP prompts, motion recipes, reference assets, and resulting derivative works for ANY commercial activities, with the sole restriction that you may not directly resell, redistribute, or package the raw prompt assets themselves.

5.1 Permitted Commercial Uses (Allowed)

You are explicitly authorized to use VIP materials and their outputs in all of the following commercial scenarios:

Monetized Content CreationYouTube, TikTok, Bilibili, Instagram Reels monetization, VTuber graphics, live streams, and podcasts.

Paid Ads & Commercial MarketingDigital advertising banners, social media marketing campaigns, promotional video ads, and landing page visual assets.

Commercial Physical MerchandisePrinting generated artworks on apparel, stickers, posters, stationery, phone cases, and packaging for mass commercial sale.

Games & Software AssetsIncorporating generated characters, concept art, backgrounds, and sprites into commercial indie games, apps, and websites.

Client Work & Commercial CommissionsFreelancers and creative agencies may use VIP recipes to produce commissioned artwork, video edits, and marketing deliverables for paying clients.

5.2 Prohibited Uses & Resale Restrictions

To protect the integrity of our creative assets, the following activities are strictly prohibited:

No Direct Reselling of Raw Prompts or ImagesYou may NOT sell, resell, sublicense, rent, or lease the raw prompt text strings, motion parameter code, or original master image files in their unmodified or direct form.

No Distribution in Competing Prompt Packs or Asset StoresYou may NOT package, scrape, or bundle the VIP recipes into prompt marketplaces (e.g. PromptBase), stock asset libraries, or prompt generation software for commercial redistribution.

No Public Leaking or Unrestricted File DumpsYou may NOT publicly post, share member passcodes, or distribute the master high-resolution assets on open forums, public torrents, or file-sharing communities.

6.Digital Goods, Instant Access & Refund Policy

The Creator Master Pack is a digital product delivered immediately upon completed payment via PayPal. Upon successful transaction processing, entitlement credentials and VIP Library access are instantly granted.

Because digital assets (prompt formulas, parameters, and downloadable art files) cannot be returned once access is provided, all sales are considered final and non-refundable. If you experience technical difficulties, access issues, or duplicate billing, please contact our dedicated support team at support@gugugagapenguin.online for immediate assistance.

7.User-Generated Content & Third-Party AI Tool Compliance

The prompt recipes provided are intended to be executed in third-party generative AI platforms (including Midjourney, Kling AI, PixVerse, Seedance, Runway, Stable Diffusion, and others). You are solely responsible for complying with the respective terms of service, acceptable use policies, and subscription tiers of those third-party platforms.

8.Copyright Infringement & DMCA Takedowns

We respect all intellectual property rights. If you believe your copyrighted work is used on this site in a manner that constitutes infringement, please review our DMCA & Copyright Policy page and contact our designated DMCA agent at (dmca@gugugagapenguin.online).

9.License Breach & Termination

Any unauthorized resale, mass redistribution, or malicious leaking of VIP materials will result in immediate and permanent revocation of your VIP Library access without refund. We reserve the right to pursue all available legal remedies to recover damages resulting from intentional copyright and license violations.

10.Disclaimer of Warranties & Limitation of Liability

The website and materials are provided on an “as-is” and “as-available” basis without warranties of any kind, whether express or implied. Under no circumstances shall Gugugaga or its operators be liable for indirect, incidental, special, or consequential damages arising from the use or inability to use the site or materials.
